Important Limitations of 13F Data

Form 13F is a delayed disclosure, generally filed up to 45 days after quarter-end. It reports specified long positions only — short positions, complete derivatives exposure, and investment intent are not disclosed. A reported position does not reveal when the institution entered, what price they paid, or whether they still hold it today. The institutions-found count in this tool reflects a bounded candidate search, not a complete census of all 13F filers.

How to Read the Data

When reviewing institutional holdings data, the "shares held" figure represents the total position size that an institution has in a given stock as of the most recent filing date. The change in shares from one quarter to the next reveals whether the institution is actively buying more shares (accumulation) or reducing its position (distribution). The percentage of portfolio metric shows how much weight the institution assigns to that stock in their disclosed long book.

13F Filing Explained

The SEC requires all institutional investment managers who exercise discretion over $100 million or more in qualifying assets to file a Form 13F on a quarterly basis. These filings must be submitted within 45 days of the end of each calendar quarter, meaning data for positions held on March 31st would be disclosed by mid-May at the latest. Each 13F filing provides a snapshot of the institution's equity holdings at that point in time, including the name of each security, the number of shares held, and the market value of the position.
